TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS
By accessing our website, using our sign-up forms, or accessing, using, or engaging any services provided by Avion Property Services ("Avion," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our services.
These Terms apply to all services offered by Avion Property Services, including but not limited to trash bin cleaning and any future services we may offer.
2. SOLE AGREEMENT
These Terms and Conditions (the “Terms”) are the sole, standalone agreement between you and Avion Property Services governing all services we provide. No separate service agreements, individual contracts, or other terms will apply unless Avion expressly agrees in writing signed by an authorized representative of Avion.
You acknowledge and agree that any descriptions, schedules, plan details, or pricing presented at sign-up or through our service platform are provided for convenience and are incorporated into these Terms only to the extent they do not conflict with these Terms.
3. USE OF SERVICES
By signing up for any service, you represent that:

You are at least 18 years of age.

You have the legal authority to authorize services at the designated property address.

The information you provide to us is accurate and complete.
4. ACCOUNT AND REGISTRATION
To access certain services, you may be required to create an account and provide accurate, current, and complete information, including but not limited to:

Full name

Service address

Email address
-
Phone number
-
Trash collection schedule and provider information
You agree to:

Keep your account information accurate and up-to-date;
-
Maintain the confidentiality of your account credentials;

Notify us immediately of any unauthorized use of your account.
You are responsible for all activity that occurs under your account.
5. PAYMENT TERMS
5.1 Payment Processing
All payments are processed securely through Stripe, a third-party payment processor. Avion Property Services does not store credit card information directly.
By providing payment information, you authorize us (through Stripe) to charge the payment method on file for all applicable service fees. You further authorize Avion (through Stripe) to charge your card on file prior to the scheduled service date (including for recurring service plans, in accordance with the billing cadence presented at sign-up).
5.2 Pricing
Service pricing is as presented at sign-up or through our service platform (including any recurring plan price, per-service price, add-ons, and applicable taxes). Prices are subject to change with reasonable notice. Continued use of services after a price change constitutes acceptance of the new pricing.
5.3 Billing
You agree to pay all fees associated with your selected service(s) in accordance with the billing cadence presented at sign-up or through our service platform. Unless otherwise stated, charges may be processed prior to the scheduled service date.
5.4 Late Payments
Past-due balances may result in suspension or termination of services. Avion reserves the right to charge late fees and/or interest on overdue accounts as permitted by Utah law.
5.5 Refunds
Unless required by law, fees are non-refundable once a service has been performed. If Avion is unable to perform a scheduled service due to Avion’s fault, Avion will, at its option, reschedule the service or issue an appropriate credit or refund for the missed service.
6. CANCELLATION AND TERMINATION
6.1 Rescheduling; Cancellation by Client; Service Minimums
Rescheduling. You must provide at least 24 hours’ notice to reschedule a service. Requests made with less than 24 hours’ notice may be treated as a missed appointment and may be denied or subject to additional fees.
Service Minimums & Cancellation. Certain service plans may require a minimum number of cleanings (a “Minimum Commitment”). By enrolling in a plan with a Minimum Commitment, you agree to keep the service active until the Minimum Commitment is met. If you cancel before completing the Minimum Commitment, you agree to pay a cancellation fee equal to 50% of the retail value of the remaining services in your Minimum Commitment.
6.2 Termination by Avion Property Services LLC
We reserve the right to suspend or terminate your account and access to services at our sole discretion, with or without notice, for:

Violation of these Terms;

Fraudulent or illegal activity;

Abusive, threatening, or disrespectful behavior toward our team members;

Non-payment of fees; or
-
Any other reason we deem necessary to protect our business or team.
7. SERVICE DELIVERY AND SCHEDULING
Service scheduling, access requirements, and delivery expectations may be communicated at sign-up or through our service platform. Avion will make commercially reasonable efforts to perform services as scheduled, but is not liable for delays caused by weather, traffic, client unavailability, or other circumstances beyond our control.
8. PROPERTY ACCESS AND CLIENT RESPONSIBILITIES
8.1 Property Access Authorization
You grant Avion Property Services explicit permission to enter onto your property as reasonably necessary to perform the services, including going behind gates and entering garages if necessary to retrieve and return trash bins for service. You represent that you have the legal authority to grant this permission.
8.2 Client Responsibilities
You are responsible for:

Providing clear and safe access to the service area;

Ensuring that items to be serviced (e.g., trash bins) are accessible and available at the scheduled time;
-
Securing pets and removing hazards that could endanger our team.
Failure to meet these responsibilities may result in a missed service, rescheduling fees, or service cancellation without refund.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW:
Avion Property Services, its owners, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to:

Loss of profits, revenue, or data;

Property damage not directly caused by our gross negligence or intentional misconduct;
-
Damage caused by pre-existing conditions, defects, or wear-and-tear;
-
Third-party acts or omissions.
Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the amount you paid to Avion for the specific service giving rise to the claim.
10. INSURANCE AND BONDING
Avion Property Services carries general liability insurance. Proof of insurance is available upon request. However, insurance coverage does not waive the limitations of liability set forth in these Terms.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Avion Property Services and its owners, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your breach of these Terms;

Your violation of any law or regulation;
-
Your negligence or willful misconduct;
-
Third-party claims arising from your use of our services.
12. INTELLECTUAL PROPERTY
12A. MEDIA CONSENT
You grant Avion Property Services permission to film, record, and/or take photos of the property areas necessary to perform the services and the trash bins being serviced for marketing, quality control, and training purposes. You acknowledge that such media may include images of the exterior of your property and surrounding areas incidentally captured in connection with the services.
All content, branding, logos, trademarks, service marks, and materials related to Avion Property Services are the exclusive property of Avion Property Services and are protected by copyright, trademark, and other intellectual property laws.
You may not use, reproduce, modify, or distribute any of our intellectual property without prior written consent.
13. PRIVACY AND DATA COLLECTION
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to our data practices as described in the Privacy Policy.
14. THIRD-PARTY SERVICES
We may use third-party platforms and services (including but not limited to Stripe, Jabatory, QuickBooks Online, Mailchimp, and AI-powered automation tools) to deliver, manage, and improve our services.
We are not responsible for the acts, omissions, policies, or practices of any third-party service provider. Your use of third-party services may be subject to their own terms and privacy policies.
15. COMMUNICATIONS AND CONSENT
By providing your email address and/or phone number, you consent to receive:

Service-related communications (e.g., appointment confirmations, receipts, scheduling updates);
-
Marketing and promotional messages (if you opt in during onboarding).
You may opt out of marketing communications at any time by following the unsubscribe instructions in the message or by contacting us at info@avionpropertyservices.com.

16. FORCE MAJEURE
Avion Property Services shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

Acts of God (e.g., extreme weather, earthquakes, floods);

War, terrorism, or civil unrest;
-
Government orders or restrictions;
-
Pandemics or public health emergencies;
-
Strikes, labor disputes, or supply chain disruptions.
17. DISPUTE RESOLUTION AND GOVERNING LAW
17.1 Governing Law
These Terms and any disputes arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.
17.2 Venue and Jurisdiction
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.
17.3 Informal Resolution
Before filing any formal legal action, you agree to first contact us at info@avionpropertyservices.com to attempt to resolve the dispute informally.
17.4 Arbitration (Optional)
Avion may, at its sole discretion, elect to resolve disputes through binding arbitration under the rules of the American Arbitration Association (AAA). If arbitration is elected, the arbitration shall take place in Utah County, Utah, and the decision of the arbitrator shall be final and binding.
17.5 Class Action Waiver
You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Avion Property Services regarding the use of our services and supersede all prior or contemporaneous agreements, communications, or understandings. You acknowledge that there are no separate service agreements, individual contracts, or additional terms that apply to your services except as expressly stated in these Terms.
20. MODIFICATIONS TO THESE TERMS
Avion Property Services reserves the right to modify, update, or replace these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms with a new "Last Updated" date; and/or

Sending notice via email or through our service platform.
Your continued use of our services after any modification constitutes your acceptance of the revised Terms.
21. WAIVER
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Avion's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
22. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Avion may assign or transfer its rights and obligations under these Terms at any time without restriction.
